Governance Committe
Mission:
The Governance Committee is responsible for assisting the CoC Board in ensuring that the overall governance of the Westchester County Continuum of Care complies with its Guiding Principles and governance best practices.
Specific Responsibilities:
1. Board and Committee Roles and Responsibilities
· Actively participates in the annual review of the Guiding Principles as they relate to what is expected of individual Board members and Committee members.
· Ensures charters for Board Committees are reviewed annually by each Committee and, any revisions, approved by the Board.
· Assists the Board, Committee Chairs and CoC Co-Chairs in establishing, and submitting for Board approval, Committee goals for the year.
2. Board and Committee Composition/Nominations
· Collaborates with the CoC Co-Chairs, individual Board members and CoC staff to identify potential Board member candidates.
· Works with each CoC Co-Chairs, individual Board members and Committee chairs to identify Board members for Committee membership and Committee Co-Chair positions.
3. Board Orientation, Assessment and Continuing Education
· Designs and oversees a process of Board orientation.
· Conducts an annual Board member survey to assess Board member engagement and suggestions for improvement to their Board experience.
Organizational Matters:
The Committee shall meet at least quarterly and at such other times as the Committee Co-Chairs shall deem appropriate – either in person or virtually. A majority of Committee members shall constitute a quorum.
The Committee shall send out written agendas to members in advance of each meeting, prepare meeting minutes which shall be shared with Committee members and the CoC Co-Chairs, and report on the Committee’s activities at each regularly scheduled Board meeting, either in writing or verbally.
